剖析《企业中长期外债审核登记管理办法》下的变化和对实务的影响

国家发展和改革委员会于2023年1月10日发布《企业中长期外债审核登记管理办法》(国家发展和改革委员会令第56号,下称“《外债管理办法》”),《外债管理办法》将于2023年2月10日实施,取代目前作为管理企业借用中长期外债的主要规范性文件《国家发展改革委关于推进企业发行外债备案登记制管理改革的通知》(发改外资〔2015〕2044号,下称“2044号文”)。我们在此前已发布了《<企业中长期外债审核登记管理办法>快评——外债融资参与者视角》一文,从融资参与者视角对《外债管理办法》进行解读及初步探讨。本文将进一步剖析新规,分别介绍新规的立法缘由、新规的主要内容、较2044号文的重要变化及对实务的影响,希望协助相关方深入了解即将实施的《外债管理办法》。
